Description
Open Stack Power Aware Scheduling Open Stack Power Aware Scheduling Intellectual Property. A. GENERAL. Subject to any obligations pursuant to the provisions of 35 U.S.C. Sections 200-212 and applicable regulations of Chapter 37 of the Code of Federal Regulations, any obligations pursuant to any state or federal law, regulation, guidance or contractual provision, or any obligation to a nonprofit entity: i. Intellecutal Property or IP shall mean any inventions, discoveries, concepts, methods, processes, data, copyrights, computer programs and related documentation, works of authorship fixed in a medium of expression, or mask works, whether or not patentable, copyrightable or subject to mask work rights or other similar statutory rights, as well as applications for any such rights. ii. Intellectual Property authored, or conceived and reduced to practice directly from the conduct of research described in Exhibit A hereto and funded under this Agreement (such research hereinafter referred to as Project) and created solely by legal inventors or authors in accordance with U.S. patent and copyright laws, who are ASU employees will be owned by ASU (ASU IP) and managed through Arizona Science and Technology Enterprises, LLC (AzTE). iii. Intellectual Property conceived and reduced to practice directly from the conduct of the Project and created solely by legal inventors or authors who are Sponsors employees will be owned by Sponsor (Sponsor IP). iv. Intellectual Property authored, conceived and reduced to practice directly from the conduct of the Project and created jointly by legal inventors who are ASUs employees and Sponsors employees will be owned jointly by ASU, through AzTE, and Sponsor (Joint IP) with neither party having to account to the other in respect of its use or disposition of its interest in such Joint IP. v. ASU and Sponsor shall retain ownership of all Intellectual Property and materials owned by each of them prior to the Effective Date. B. PATENT APPLICATIONS. Patent applications and any issued patents on ASU IP will be filed, prosecuted, maintained and enforced by AzTE, in its discretion, on behalf of ASU. Sponsor may request AzTE to file a patent application on ASU IP or Joint IP, subject to Sponsors agreement to reimburse AzTE for all patent expenses in connection with such application. C. SPONSOR OPTIONS FOR PROJECT IP. In consideration of Sponsors support of this Project, Sponsor may elect only one of the following two options with respect to ASU IP and/or ASUs interest in Joint IP:
